Who we are
D2 Team Corp is a Georgia nonprofit corporation recognized by the Internal Revenue Service as a public charity under Sections 501(c)(3) and 170(b)(1)(A)(vi) of the Internal Revenue Code (EIN 86-2609529; effective date of exemption February 23, 2021). The Corporation conducts scientific research, education, and workforce development at the intersection of space systems, space cybersecurity, cyber-physical systems, artificial intelligence, and extended-reality technologies, and preserves a founding commitment to the social-justice dimensions of access to technology and knowledge.
Every research project undertaken by the Corporation is required, under its Bylaws, to produce at least one publicly available artifact that democratizes access to space, artificial intelligence, or extended-reality education.
Leadership
The founding Chief Executive Officer of D2 Team Corp is William Oylando Ferguson, a recognized practitioner and standards contributor in space-systems cybersecurity. Mr. Ferguson is a Senior Member of the Institute of Electrical and Electronics Engineers (IEEE), Technical Editor of the IEEE Space Systems Cybersecurity (S2CY) Working Group, and Subgroup Lead of the IEEE Space Systems Integration Layer Subgroup.
He has provided more than three (3) years of sustained, unpaid volunteer service to IEEE-supported conferences in the United States and France, and is an active non-profit member contributor to the United States Space Information Sharing and Analysis Center (Space ISAC).
Mr. Ferguson has personally covered the operating expenses of the Corporation since its incorporation, and has developed and delivered pilot courses to the United States Space ISAC and pilot virtual courses to the United States Space Force (built through the Corporation's research-and-development activity and delivered at no cost to the recipients), with travel and related expenses personally covered and without compensation to the Corporation or to Mr. Ferguson.
Areas of focus
- Space systems: spacecraft, payloads, launch and ground systems, satellite communications, and orbital operations.
- Space cybersecurity: threat modeling, detection engineering, incident response, and resilience for space and space-adjacent systems.
- Cyber-physical systems supporting space missions: ground-segment infrastructure, command-and-control systems, and supply-chain integrity for space hardware and software.
- Artificial intelligence as applied to space systems and space cybersecurity: machine learning, federated learning, and trust-conditioned reasoning in adversarial environments.
- Extended-reality technologies as applied to space domains: training, simulation, mission visualization, and human-systems integration.
Engagement model
D2 Team Corp engages primarily as a subawardee under federal grants administered by university and other prime applicants, and as a collaboration partner on standards-aligned space-cybersecurity research and education.
The Corporation gives preference to engagements with accredited academic institutions, governmental space agencies, intergovernmental organizations, standards-development organizations, nonprofit research institutes, federally-funded research and development centers, information-sharing-and-analysis centers, and other public-benefit space-sector entities.
Every engagement is reviewed against the Corporation's Conflict of Interest Policy (which includes both Financial Interests and Mission Interests) and is required to produce the public-benefit artifact identified in Bylaws Section 2.03.
Governance and compliance framework
D2 Team Corp operates under a documented governance framework adopted by its Board of Directors and reviewed not less than annually. The framework includes:
- Restated Bylaws (adopted June 21, 2026), Article II of which binds the Corporation to a space-focused research mission and to the per-project public-benefit artifact requirement.
- Conflict of Interest Policy with annual disclosure, covering both Financial Interests and Mission Interests.
- Compensation Policy designed to satisfy the procedural safe-harbor of Section 4958 of the Internal Revenue Code to the maximum extent practicable.
- Whistleblower Policy with an External Designated Recipient procedure.
- Document Retention and Destruction Policy aligned with 2 C.F.R. § 200.334.
- Research Activity Policy operationalizing the Treas. Reg. § 1.501(c)(3)-1(d)(5) public-interest research test.
- Fund Accounting and Internal Controls Policy aligned with 2 C.F.R. §§ 200.302 and 200.303.
- Indirect Cost Rate Election: 15% de minimis under 2 C.F.R. § 200.414(f), as revised October 1, 2024.
- Procurement Policy aligned with 2 C.F.R. §§ 200.317 through 200.327.
- Subaward Acceptance Memorandum, used for every federal subaward accepted by the Corporation.
- Time and Effort Reporting Policy aligned with 2 C.F.R. § 200.430(i).
- Grant Closeout Procedure aligned with 2 C.F.R. § 200.344, including verification of the public-benefit artifact required by Bylaws Section 2.03.
Public-benefit commitment
D2 Team Corp's research is carried on in the public interest within the meaning of Treasury Regulation § 1.501(c)(3)-1(d)(5). Acceptable public-benefit artifact forms include peer-reviewed or open-access journal articles, freely accessible public courses or training resources, open-source software releases, open datasets and benchmarks, and technical or standards-aligned documentation made publicly available. The Corporation maintains a public-facing record of these artifacts on its website.
